Maximus Proper LLC does business as (DBA) Home Inspector Solutions. All references to our company include this DBA brand.

We operate specialized brands, including Home Inspector Solutions, to serve specific industry verticals with tailored marketing solutions.

3. SMS/Text Messaging Terms

Maximus Proper LLC (DBA Home Inspector Solutions) provides digital marketing and technology solutions for service-based businesses, operating brands including Home Inspector Solutions. When you opt in, you may receive messages about service updates, website demos, special offers, discounts, and appointment reminders.

You can cancel the SMS service at any time. Just text STOP to the short code. After you send the SMS message STOP to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Carriers are not liable for delayed or undelivered messages.

4. Payment Terms

Payment terms for services will be outlined in individual service agreements or proposals. Unless otherwise specified:

Payment is due upon receipt of invoice unless other terms are agreed upon in writing.
Late payments may be subject to a late fee of 1.5% per month on the outstanding balance.
All fees are non-refundable unless otherwise stated in the applicable service agreement.
We reserve the right to suspend services for accounts with overdue balances exceeding 30 days.

5. Cancellation and Termination

Either party may terminate services with 30 days' written notice unless otherwise specified in a service agreement. Upon cancellation:

All outstanding invoices become immediately due and payable.
We will make reasonable efforts to provide any deliverables completed up to the date of termination.
Access to any accounts, dashboards, or tools provided as part of our services may be revoked.
We reserve the right to terminate services immediately if the client violates these Terms or engages in fraudulent or illegal activity.

6. Intellectual Property

All intellectual property created by Maximus Proper LLC (DBA Home Inspector Solutions) in the course of providing services remains the property of Maximus Proper LLC (DBA Home Inspector Solutions) until full payment has been received. Upon full payment:

Custom website designs and content created specifically for the client are transferred to the client.
Proprietary tools, software, templates, frameworks, and methodologies used in delivering services remain the exclusive property of Maximus Proper LLC (DBA Home Inspector Solutions).
We retain the right to showcase work in our portfolio and marketing materials unless otherwise agreed in writing.

7. Client Responsibilities

Clients agree to:

Provide accurate and timely information necessary for the delivery of services.
Review and approve deliverables in a timely manner.
Ensure that any content provided to us does not infringe on third-party intellectual property rights.
Maintain the confidentiality of any account credentials provided.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Maximus Proper LLC (DBA Home Inspector Solutions) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your use of or inability to use our services.
Any unauthorized access to or alteration of your data.
Any interruption or cessation of our services.
Any bugs, viruses, or similar issues transmitted through our services.

In no event shall our total liability exceed the amount paid by you to Maximus Proper LLC (DBA Home Inspector Solutions) during the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Maximus Proper LLC (DBA Home Inspector Solutions), its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

10. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. Maximus Proper LLC (DBA Home Inspector Solutions) makes no warranties, expressed or implied, regarding the operation of our services or the information, content, or materials included therein. We do not guarantee specific results from the use of our services, including but not limited to search engine rankings, website traffic, or lead generation volumes.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or our services shall be resolved in the state or federal courts located in Nashville, Tennessee, and you consent to the personal jurisdiction of such courts.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Maximus Proper LLC (DBA Home Inspector Solutions) regarding the use of our services.
